Welcome to Forma The Magazine (the “Site”). These Terms of Use apply to all visitors to and users of the Site, whether or not you have registered or subscribed for any of the products or services offered on the Site (“Services”), including any mobile version, or have contributed any Submissions, Projects, or User Content.

By accessing or using the Site, you acknowledge that you have read, understood, and agreed to these Terms of Use. You also agree to these Terms of Use if you post Forma The Magazine links on your site.

1. Modifications to Terms.
Forma The Magazine reserves the right, without prior notice, to modify, supplement, or delete parts of, or the entirety of, these Terms of Use. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms of Use. If you do not agree to abide by these or any future Terms of Use, do not use the Site.

2. Intellectual Property Rights (Site Content).
All content on the Site, including designs, text, graphics, pictures, video, information, applications, software, music, sound, and other files, and their selection and arrangement (“Site Content”) are the property of Forma The Magazine, and/or other entities under our direction or from whom we have obtained an appropriate license, with all rights reserved.

Restrictions: Except as provided in these terms, no Site Content may be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without our prior written permission.
Ownership: You recognize that the contents of Forma The Magazine (text, pictorial, video, and sound material) are protected under the laws on copyright, patent, trademark, branding, design, company, industrial property, and/or other legal protection. Your use of the Site does not grant or transfer to you any ownership or other rights in the Site Content.
Reservation of Rights: Any rights not expressly granted to you in these Terms of Use are expressly reserved by Forma The Magazine. The foregoing does not apply to your own User Content that you legally post on the Site.

3. User License and Restrictions.
You are granted a limited, non-exclusive, and revocable license to access and use the Site and the Site Content solely for your personal, non-commercial use, provided that you keep all copyright or other proprietary notices intact.
You agree not to:

Incorporate the information in any other database or compilation.
Use data mining, robots, scraping, or similar methods to gather or extract data.
Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use.

Any use of the Site or the Site Content other than as specifically authorized herein, without our prior written permission, is strictly prohibited and will terminate the license granted herein.

4. User Information and Security.
In consideration of your use of the Site, you agree to:

Provide accurate, current, and complete information about yourself as prompted by any registration forms.
Maintain the security of your password and identification.
Update your Registration Data for accuracy.
Be fully responsible for all use of and actions with your account.

Exceptions: Prohibited commercial use does not include posting of User Content in a manner expressly permitted by the Site’s functionality (e.g., use of the ‘Job Board’, ‘Event Board’, ‘Competition Board’, the ‘Product Guide’, or the creation of a Forma The Magazine page).

In addition, and without limitation, you agree not to use the Service or the Site to:

Collect email addresses or contact information of other users for sending unsolicited communications.
Solicit other users to join commercial online services without our approval.
Use automated scripts to interact with the Service or the Site.
Upload content that is harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy, hateful, or racially/ethnically objectionable.
Upload content that is not original to you, unless you have obtained all necessary rights.
Upload content containing references to or likenesses of identifiable third parties without their consent.
Upload content that infringes on intellectual property rights, privacy rights, or rights of publicity.
Impersonate any person or entity or register on behalf of another without permission.
Upload unsolicited advertising, "junk mail," "spam," or "pyramid schemes."
Upload private information of any third party.
Upload material containing software viruses designed to interrupt functionality.
Intimidate or harass another user.
Upload content that encourages criminal offences or violates any local, provincial, federal, or international law.

7. Project Submissions and User Content.
As an e-journal and e-magazine, we welcome project submissions, inquiries, and content from our community. By sending or uploading any photos, project details, text, videos, or other materials ("User Content"), you agree to the following:

User Responsibility: You are solely responsible for everything you send to us. By submitting User Content, you warrant and represent that you own the rights to the material or have obtained all necessary permissions, licenses, and consents (including from clients, photographers, or co-designers) required to allow us to publish it.
License to Publish: By submitting your project or content, you grant Forma The Magazine the "green light" and a perpetual, irrevocable, worldwide, royalty-free license to publish, display, format, and distribute the materials across our e-journal, e-magazine, and all of our official social media channels.
No Sale or Third-Party Sharing: Forma The Magazine respects your ownership. We will only use your submitted materials for our own publishing purposes as outlined above. We will not sell your User Content, nor will we share, license, or transfer your materials to outside third parties.
Moral Rights: You waive any claims to "moral rights" with respect to the User Content in favour of Forma The Magazine to allow us to format and display the content appropriately across our platforms.
Content Monitoring: We have no obligation to review or publish any User Content sent to us. We reserve the right to monitor, edit, refuse to publish, or delete any User Content at our sole discretion, at any time and for any reason.

8. Linking Policy

Linking to Our Site: We grant you a non-exclusive, limited license, revocable at our discretion, to link to the Site’s home page from any site you own or control that is not commercially competitive with the Site and does not criticize or injure us, provided the linking site complies with all applicable laws.
Third-Party Links: The Site contains links to third-party websites. We are not responsible for any Third-Party Sites accessed through the Site. If you decide to access Third-Party Sites, you do so at your own risk.

9. Disclaimers and Limitation of Liability
THE SITE, THE SERVICE, AND ALL SITE CONTENT ARE PROVIDED “AS-IS”. To the maximum extent permitted by applicable law, Forma The Magazine disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the site will be error-free, secure, or free of viruses.
You download content at your own discretion and risk.
We are not responsible for the conduct of any user, online or offline.
We assume no responsibility for technical malfunctions, servers, or internet congestion.

Under no circumstances will we be responsible for any loss or damage resulting from anyone’s use of the site or the service.

We reserve the right, at our sole discretion, to limit or terminate access to the Site, delete your profile, and prohibit you from using the Service for any reason, or no reason, at any time, with or without notice.

11. Governing Law and Arbitration.
These Terms of Use shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You irrevocably consent to the jurisdiction of the Courts in the Province of Ontario.

Arbitration: Any disputes arising out of these Terms (except for IP violations or injunctive relief) shall be settled by final and binding arbitration. Any arbitration shall be conducted in Toronto, in English, by a single arbitrator in accordance with the Arbitration Act (Ontario).
Class Action Waiver: To the fullest extent permitted by law, no arbitration or claim under these terms shall be joined to any other arbitration or claim, and no class arbitration proceedings shall be permitted.
Statute of Limitations: Any claim related to the Site or Service must be instituted within two (2) years after the cause of action arose.

12. Indemnification.
You agree to indemnify and hold Forma The Magazine, its owner, affiliates, officers, agents, and employees harmless from any loss, liability, claim, demand, damages, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with any User Content you post or submit, your use of the Site, or your violation of this Agreement.

13. General Provisions.
These Terms of Use constitute the entire agreement between you and Forma The Magazine. Our failure to enforce any right or provision shall not constitute a waiver of such right. If any provision is deemed unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity of the remaining provisions.
