Welcome to Forma The Magazine (the “Site”). These Terms of Use apply to all visitors to and users of the Site, whether or not you have registered or subscribed for any of the products or services offered on the Site (“Services”), including any mobile version, or have contributed any Submissions or User Content.
By accessing or using the Site, you acknowledge that you have read, understood, and agreed to these Terms of Use. You also agree to the Terms of Use if you post Forma The Magazine links on your site.
1. Modifications to Terms
Forma The Magazine reserves the right, without prior notice, to modify, supplement, or delete parts of, or the entirety of, these Terms of Use. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms of Use. If you do not agree to abide by these or any future Terms of Use, do not use the Site.
2. Intellectual Property Rights (Site Content)
All content on the Site, including designs, text, graphics, pictures, video, information, applications, software, music, sound, and other files, and their selection and arrangement (“Site Content”) are the property of Forma The Magazine, and/or other entities under our direction or from whom we have obtained an appropriate license, with all rights reserved.

Restrictions: Except as provided in these terms, no Site Content may be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without our prior written permission.

Ownership: You recognize that the contents of Forma The Magazine (text, pictorial, video, and sound material) are protected under the laws on copyright, patent, trademark, branding, design, company, industrial property, and/or other legal protection. Your use of the Site does not grant or transfer to you any ownership or other rights in the Site Content.

Reservation of Rights: Any rights not expressly granted to you in these Terms of Use are expressly reserved by Forma The Magazine. The foregoing does not apply to your own User Content that you legally post on the Site.
3. User License and Restrictions
You are granted a limited, non-exclusive, and revocable license to access and use the Site and the Site Content solely for your personal, non-commercial use, provided that you keep all copyright or other proprietary notices intact.
You agree not to:

Upload or republish Site Content on any Internet, Intranet, or Extranet site.

Any use of the Site or the Site Content other than as specifically authorized herein, without our prior written permission, is strictly prohibited and will terminate the license granted herein.
4. User Information and Security
In consideration of your use of the Site, you agree to:

5. Non-Commercial Use
You may use this Site for personal, non-commercial use only. You agree not to sell, modify, or reproduce Site Content or User Content for any commercial purpose without prior written permission.

Exceptions: Prohibited commercial use does not include posting of User Content in a manner expressly permitted by the Site’s functionality (e.g., use of the ‘Job Board’, ‘Event Board’, ‘Competition Board’, the ‘Product Guide’, or the creation of a Forma The Magazine page).
6. Prohibited Conduct
In addition, and without limitation, you agree not to use the Service or the Site to:

Collect email addresses or contact information of other users for sending unsolicited communications.

Solicit other users to join commercial online services without our approval.

Use automated scripts to interact with the Service or the Site.

Upload content that is harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy, hateful, or racially/ethnically objectionable.

Upload content that is not original to you, unless you have obtained all necessary rights.

Upload content containing references to or likenesses of identifiable third parties without their consent (if consent cannot be obtained, faces must be blurred and voices altered).

Upload content that infringes on intellectual property rights, privacy rights, or rights of publicity.

Register for an account on behalf of another individual or group without permission.

Impersonate any person or entity.

Upload unsolicited advertising, "junk mail," "spam," "chain letters," or "pyramid schemes."

Upload private information of any third party (addresses, phone numbers, credit card numbers, etc.).

Upload material containing software viruses or computer code designed to interrupt or destroy functionality.

Intimidate or harass another user.

Upload content that encourages criminal offences or violates local, provincial, federal, or international law.
7. User Submissions and User Content
A. Submissions (Feedback/Ideas) You acknowledge that any questions, comments, suggestions, ideas, feedback, or other information about the Site ("Submissions") provided by you are non-confidential. Forma The Magazine is entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.
B. User Content (Posts/Media) You are solely responsible for any photos, profiles, messages, text, music, video, and other content ("User Content") that you upload or share.

License Grant: By posting User Content, you grant Forma The Magazine an irrevocable, perpetual, non-exclusive, transferable, worldwide license (with the right to sublicense) to use, copy, publicly perform, display, reformat, translate, and distribute such User Content for any purpose.

Moral Rights: You waive any claims to "moral rights" with respect to the User Content in favour of Forma The Magazine.

Privacy: If you choose to include personal information in User Content posted to a public area, you consent to the public disclosure of that information.
C. Content Monitoring: We have no obligation to review User Content. However, we reserve the right to monitor, edit, or delete any User Content at our sole discretion, at any time and for any reason, including content that violates these Terms or is offensive/illegal.
8. Linking Policy
A. Linking to Our Site: We grant you a non-exclusive, limited license, revocable at our discretion, to link to the Site’s home page from any site you own or control that is not commercially competitive with the Site and does not criticize or injure us, provided the linking site complies with all applicable laws and does not contain inappropriate or illegal material.
B. Third-Party Links & Content: The Site contains links to third-party websites and content. Such Third-Party Content is not investigated or monitored by us. We are not responsible for any Third-Party Sites accessed through the Site. If you decide to access Third-Party Sites, you do so at your own risk.
C. Share Service: Users may share content through the "Share Service." You agree that your use of the Share Service is subject to these Terms of Use.
9. Disclaimers and Limitation of Liability
THE SITE, THE SERVICE, AND ALL SITE CONTENT ARE PROVIDED “AS-IS”.
To the maximum extent permitted by applicable law, Forma The Magazine disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
• We do not guarantee that the site will be error-free, secure, or free of viruses.
• You download content at your own discretion and risk.
• We are not responsible for the conduct of any user, online or offline.
• We assume no responsibility for technical malfunctions, servers, or internet congestion.
Under no circumstances will we be responsible for any loss or damage, including personal injury or death, resulting from anyone’s use of the site or the service.
10. Termination
We reserve the right, at our sole discretion, to limit or terminate access to the Site, delete your profile, and prohibit you from using the Service for any reason, or no reason, at any time, with or without notice.
11. Governing Law and Arbitration
These Terms of Use shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You irrevocably consent to the jurisdiction of the Courts in the Province of Ontario.
Arbitration: Any disputes arising out of these Terms (except for IP violations or injunctive relief) shall be settled by final and binding arbitration. Any arbitration shall be conducted in Toronto, in English, by a single arbitrator in accordance with the Arbitration Act (Ontario).
Class Action Waiver: To the fullest extent permitted by law, no arbitration or claim under these terms shall be joined to any other arbitration or claim, and no class arbitration proceedings shall be permitted.
Statute of Limitations: Any claim related to the Site or Service must be instituted within two (2) years after the cause of action arose.
12. Indemnification
You agree to indemnify and hold Forma The Magazine, its subsidiaries, affiliates, officers, agents, and employees harmless from any loss, liability, claim, demand, damages, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with any User Content you post, your use of the Site, or your violation of this Agreement.
13. General Provisions
These Terms of Use constitute the entire agreement between you and Forma The Magazine. Our failure to enforce any right or provision shall not constitute a waiver of such right. If any provision is deemed unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity of the remaining provisions.
